ORBNET Systems’ Terms and Conditions</h2>\n  <p>These Terms and Conditions (Terms) set out our terms of sale when you purchase our computer software, the data supplied with the software and the associated media (Software) and any printed materials or electronic documentation (Documentation). The term ‘product’ or ‘products’ shall mean our Software and/or Documentation.</p>\n  <p>These Terms also set out the terms of sale when business customers purchase our consultancy services. The term ‘service’ or ‘services’ shall mean our consultancy services.</p>\n  <p>Please ensure you read these Terms carefully; by purchasing our Software and/or Documentation you will be agreeing to be bound by these Terms.</p>\n  <p>If you have any questions about these Terms, please <a href=\"https://orbnetsys.com/Contact\">contact us</a>.</p>\n  <p class=\"clause\"><span class=\"number\">1.1</span>Are you a business customer or a consumer? You will have different rights under these Terms depending on whether you are a business customer or a consumer. For example, business customers can't cancel their orders, they have different rights where there is a problem with a product or service and we don't compensate them in the same way for losses caused by us or our products/services. We also provide professional consultancy services in relation to our products that are exclusively available to business customers only. Where a term applies just to businesses or just to consumers, this is clearly stated.</p>\n  <p class=\"clause\"><span class=\"number\">1.2</span>You are a business customer if you are buying products or services wholly or mainly for use in connection with your trade, business, craft or profession, even if you are an individual.</p>\n  <p class=\"clause\"><span class=\"number\">1.3</span>You are a consumer if you are an individual and you are purchasing our products wholly or mainly for your personal use. Please note our professional consultancy services provided in relation to our products are only available to business customers at this time.</p>\n\n  <h2>2. There are other terms that may apply to you. Please see the links below:</h2>\n  <p class=\"clause\"><span class=\"number\">2.1</span>Privacy Policy available (see <a href=\"https://orbnetsys.com/privacypolicy\">Privacy Policy</a>), which provides you with information on how we process your personal data and any personal data you may share with us in performing these Terms and Conditions; and</p>\n  <p class=\"clause\"><span class=\"number\">2.2</span>End User Licence Agreement (EULA) available (see <a href=\"https://orbnetsys.com/eulaPolicy\">EULA Policy</a>), sets out the licence to use our products.</p>\n\n  <h2>3. Information about us and how to contact us</h2>\n  <p class=\"clause\"><span class=\"number\">3.1</span>Who we are. We are ORBNET Systems Ltd, a company registered in England and Wales. Our company registration number is 12172684 and our registered office is: Unit 2.02, High Weald House, Glovers End, Bexhill, United Kingdom, TN39 5ES.</p>\n  <p class=\"clause\"><span class=\"number\">3.2</span>How to contact us. You can contact us by submitting an enquiry through our website by <a href=\"https://orbnetsys.com/Contact\">clicking here</a>, or by writing to us through email: <a href=\"mailto:support@orbnetsys.com\">support@orbnetsys.com</a>.</p>\n  <p class=\"clause\"><span class=\"number\">3.3</span>How we may contact you. If we have to contact you, we will do so by telephone or by the email address you have provided to us. Please ensure the contact information you provide to us is accurate and up to date.</p>\n  <p class=\"clause\"><span class=\"number\">3.4</span>\"Writing\" includes emails. When we use the words \"writing\" or \"written\" in these Terms, this includes emails.</p>\n\n  <h2>4. Ownership</h2>\n  <p class=\"clause\"><span class=\"number\">4.1</span>ORBNET Systems licence the use of our Software and Documentation to you in accordance with these Terms. ORBNET Systems remains the owner of the Software and Documentation at all times. Therefore, any reference to the purchase of our products means the purchase of the licence to use our products.</p>\n  <p class=\"clause\"><span class=\"number\">4.2</span>We retain all rights in our intellectual property. The intellectual property rights in ORBNET System’s Software, Documents, services, trademarks, information, publications, images, videos, and the design, layout and appearance of our website are owned by or licensed to ORBNET Systems and must not be used unless permitted by these Terms or with our prior written consent.</p>\n\n  <h2>5. Our contract with you – services for business customers only</h2>\n  <p class=\"clause\"><span class=\"number\">5.1</span>This clause 5 applies to the services that we offer to business customers only.</p>\n  <p class=\"clause\"><span class=\"number\">5.2</span>ORBNET Systems will agree details of, including a specification of the services (Specification) with you in writing, setting out a quotation of the costs for the supply of services and any payment terms that apply to the services.</p>\n  <p class=\"clause\"><span class=\"number\">5.3</span>Once the Specification is agreed ORBNET Systems will provide written acceptance of your order and on which date these terms and conditions and the Specification shall form a contract between us.</p>\n  <p class=\"clause\"><span class=\"number\">5.4</span>We reserve the right to amend the Specification if necessary to comply with any applicable law or regulatory requirement, or if the amendment will not materially affect the nature or quality of the services, and we shall notify you in any such event.</p>\n  <p class=\"clause\"><span class=\"number\">5.5</span>We shall:</p>\n  <p class=\"subclause\"><span class=\"number\">5.5.1</span>Supply the services in accordance with the Specification in all material respects;</p>\n  <p class=\"subclause\"><span class=\"number\">5.5.2</span>Perform the services using reasonable care and skill;</p>\n  <p class=\"subclause\"><span class=\"number\">5.5.3</span>Use reasonable endeavours to meet any performance dates specified in our Specification, but any such dates shall be estimates only and time shall not be of the essence for performance of the services.</p>\n  <p class=\"clause\"><span class=\"number\">5.6</span>You shall:</p>\n  <p class=\"subclause\"><span class=\"number\">5.6.1</span>Ensure that the information you provide set out in, and for preparation of, the Specification is complete and accurate;</p>\n  <p class=\"subclause\"><span class=\"number\">5.6.2</span>Co-operate with us in all matters relating to the services;</p>\n  <p class=\"subclause\"><span class=\"number\">5.6.3</span>Provide us, our employees, agents, consultants and subcontractors, with access to premises, office accommodation and other facilities if reasonably required by us, in provision of the service; and</p>\n  <p class=\"subclause\"><span class=\"number\">5.6.4</span>Provide us with such information and materials as we may reasonably require in order to supply the service, and ensure that such information is complete and accurate;</p>\n  <p class=\"subclause\"><span class=\"number\">5.6.5</span>Obtain and maintain all necessary licences, permissions and consents which may be required for us to supply the services before the date on which the services are to start; and</p>\n  <p class=\"subclause\"><span class=\"number\">5.6.6</span>Comply with any additional obligations set out in the Specification.</p>\n  <p class=\"clause\"><span class=\"number\">5.7</span>If our performance of any of our obligations under the Specification is prevented or delayed by any act or omission by your or failure by you to perform any relevant obligation, including failure to make payment when due (Customer Default):</p>\n  <p class=\"subclause\"><span class=\"number\">5.7.1</span>Without limiting or affecting any other right or remedy available to us, we shall have the right to suspend performance of the services until you remedy the Customer Default, and to rely on the Customer Default to relieve us from the performance of any of our obligations;</p>\n  <p class=\"subclause\"><span class=\"number\">5.7.2</span>We shall not be liable for any costs or losses sustained or incurred by you arising directly or indirectly from our failure or delay to perform any of our obligations as set out in this clause 5.7; and</p>\n  <p class=\"subclause\"><span class=\"number\">5.7.3</span>You shall reimburse us on written demand for any costs or losses sustained or incurred by us arising directly or indirectly from the Customer Default.</p>\n  <p class=\"clause\"><span class=\"number\">5.8</span>Each party undertakes that it shall not at any time disclose to any person any confidential information concerning the business, affairs, customers, clients or suppliers of the other party, unless:</p>\n  <p class=\"subclause\"><span class=\"number\">5.8.1</span>Disclosed to its employees, officers, representatives, contractors, subcontractors or advisers who need to know such information for the purposes of carrying out the party's obligations under this contract. Each party shall ensure that its employees, officers, representatives, contractors, subcontractors or advisers to whom it discloses the other party's confidential information comply with this clause 5.8; or</p>\n  <p class=\"subclause\"><span class=\"number\">5.8.2</span>Required by law, a court of competent jurisdiction or any governmental or regulatory authority.</p>\n  <p class=\"continuation\">Either party shall not use the other party's confidential information for any purpose other than to perform its obligations under this contract.</p>\n  <p class=\"clause\"><span class=\"number\">5.9</span>Our contract is for consultancy services on a time and materials basis only and for the avoidance of doubt, we do not take ownership of any project nor are we liable for any time delays or project issue resolution.</p>\n  <p class=\"clause\"><span class=\"number\">5.10</span>The provisions of the following clauses shall apply to the provision of services: clauses 1 to 4 inclusive; clause 7 (Accounts and membership), clauses 8.2 to 8.4 (inclusive) and clause 8.6.4 (Payment and prices); clause 9.2 (We may make changes to these Terms from time to time); clause 12 (We can end our contract with you immediately); clauses 13.2 and 13.4 (We don't compensate you for all losses caused by us or our products); clause 14 (We're not responsible for delays outside our control); clauses 18 to 25 (inclusive) and clause 26.2 (General).</p>\n\n  <h2>6. Our contract with you – products for consumers and business customers</h2>\n  <p class=\"clause\"><span class=\"number\">6.1</span>ORBNET Systems will contact you to confirm your order has been received and your purchase will be accepted when our Software and/or Documentation is made available to you (whether through download or other means). At this point these Terms will become a binding contract between us.</p>\n  <p class=\"clause\"><span class=\"number\">6.2</span>Sometimes we reject or cancel orders, for example, if a product was mispriced by us or if, at our sole discretion, we choose to restrict purchases per person, business, household or per order. When this happens, we let you know as soon as possible and we will refund any sums you have paid for products you will not receive.</p>\n\n  <h2>7. Accounts and membership</h2>\n  <p class=\"clause\"><span class=\"number\">7.1</span>Your account details are confidential. When you create an account with ORBNET Systems you will be required to create a username and password. You must keep this information confidential and you must not disclose it or share it with anyone else.</p>\n  <p class=\"clause\"><span class=\"number\">7.2</span>You will be responsible for maintaining the security of your account and all activities that occur with your user account. If you suspect someone else has access to your password, please change it immediately using the password reset function on our website and let us know as soon as possible if your account has been compromised.</p>\n\n  <h2>8. Payment and prices</h2>\n  <p class=\"clause\"><span class=\"number\">8.1</span>Where to find the price for our products. The price of our products (which includes VAT where applicable) will be given by us to you via a quotation at the time of purchase. We take all reasonable care to ensure that the price of the product advised to you is correct, however we may reject or cancel orders if there is an error in price in accordance with clause 6.2.</p>\n  <p class=\"clause\"><span class=\"number\">8.2</span>We may charge interest on late payments. If we're unable to collect any payment you owe us, we reserve the right to charge interest on the overdue amount at the rate of:</p>\n  <p class=\"subclause\"><span class=\"number\">8.2.1</span>2% a year above the Bank of England base rate from time to time if you are a consumer; and</p>\n  <p class=\"subclause\"><span class=\"number\">8.2.2</span>4% a year above the Bank of England base rate from time to time if you are a business.</p>\n  <p class=\"continuation\">This interest accrues on a daily basis from the due date until the date of actual payment of the overdue amount, whether before or after judgment. You pay us the interest together with any overdue amount.</p>\n  <p class=\"clause\"><span class=\"number\">8.3</span>We will pass on changes in the rate of VAT. If the rate of VAT changes between your order date and the date you have access to our products or, for business customers purchasing services, between the Specification date and the date we begin performance of our services, we will adjust the rate of VAT that you pay, unless you have already paid for the product or services in full before the change in the rate of VAT takes effect.</p>\n  <p class=\"clause\"><span class=\"number\">8.4</span>If you are a business customer you have no set-off rights. If you are a business customer you must pay all amounts due to us under these Terms in full without any set-off, counterclaim, deduction or withholding (other than any deduction or withholding of tax as required by law).</p>\n  <p class=\"clause\"><span class=\"number\">8.5</span>We may make changes to our prices. We may change the price of our Software, Documentation from time to time. We will let you know of any increase that may affect your payments and you will have the option to cancel your payment upon expiry of a free trial or 30 working days before auto-renewal payment is due.</p>\n  <p class=\"clause\"><span class=\"number\">8.6</span>How we will take payment:</p>\n  <p class=\"subclause\"><span class=\"number\">8.6.1</span>Downloads. We will charge you the price set out in our quotation when we make our products available for download using the payment details you provide when you purchase our Software and/or Documentation.</p>\n  <p class=\"subclause\"><span class=\"number\">8.6.2</span>Free trial. We may require you to provide your payment details in order to begin a free trial period of our Software and/or Documentation. We will not charge you until the free trial expires. We will take payment for the price shown on our website when you started the trial, from the payment method you provided when you signed up to the free trial.</p>\n  <p class=\"subclause\"><span class=\"number\">8.6.3</span>Auto-renewal. We will charge you the price applicable for the products at the time payment is due, payment will be deducted from the payment details you provided when you subscribed to our Software and/or Documentation on payment terms that automatically renew after a fixed period. This period will be in accordance with the length of time you chose when auto-renewal was enabled for the Software and/or Documentation.</p>\n  <p class=\"subclause\"><span class=\"number\">8.6.4</span>Services. Payment and price information will be set out in the Specification.</p>\n\n  <h2>9. We can always change our products and these Terms.</h2>\n  <p class=\"clause\"><span class=\"number\">9.1</span>Changes to our Software, Documentation. We may change our products at any time:</p>\n  <p class=\"subclause\"><span class=\"number\">9.1.1</span>To reflect changes in relevant laws and regulatory requirements;</p>\n  <p class=\"subclause\"><span class=\"number\">9.1.2</span>To implement minor technical adjustments and improvements, for example to address a security threat; and</p>\n  <p class=\"subclause\"><span class=\"number\">9.1.3</span>To update our Software after purchase, provided that the Software shall always substantially match the description provided to you before you bought it.</p>\n  <p class=\"clause\"><span class=\"number\">9.2</span>We may make changes to these Terms from time to time, and if we do, we will notify you by email or by clearly advertising the changes on our website. We therefore encourage you to look at these Terms regularly. If there are any changes in our Terms that you do not agree to, you can end the contract before the change takes effect and receive a refund for any products you've paid for in advance but not received, or for business customers purchasing services, any services you have paid for in advance but which we have not performed. Unless otherwise notified within 10 working days, any amended Terms will be effective immediately and you will have accepted the changes.</p>\n\n  <h2>10. We can suspend supply (and you have rights if we do)</h2>\n  <p class=\"clause\"><span class=\"number\">10.1</span>We can suspend the supply of a product. We may do this to:</p>\n  <p class=\"subclause\"><span class=\"number\">10.1.1</span>Deal with technical problems or make minor technical changes;</p>\n  <p class=\"subclause\"><span class=\"number\">10.1.2</span>Update the product to reflect changes in relevant laws and regulatory requirements; or</p>\n  <p class=\"subclause\"><span class=\"number\">10.1.3</span>Make changes to the product (see clause 9.1).</p>\n  <p class=\"clause\"><span class=\"number\">10.2</span>We may adjust the price and may allow you to terminate if we suspend supply. We use reasonable care to contact you in advance to tell you we're suspending supply unless the problem is urgent or an emergency. If we suspend access to our Software and/or Documentation for longer than either a continuous period of 15 days; or</p>\n  <p class=\"subclause\"><span class=\"number\">10.2.1</span>30 days in any 12-month period,</p>\n  <p class=\"continuation\">we will adjust the price so that you don't pay for it while it's suspended. If we suspend supply, or tell you we're going to suspend supply, for more than 4 weeks, you can contact us to end the contract and we'll refund any sums you've paid in advance for products you won't receive.</p>\n\n  <h2>11. We can withdraw products</h2>\n  <p class=\"clause\"><span class=\"number\">11.1</span>We can stop providing a product, such as updates or a subscription for digital content. We will let you know at least 30 days in advance and we will refund any sums you've paid in advance for products which won't be provided.</p>\n\n  <h2>12. We can end our contract with you immediately</h2>\n  <p class=\"clause\"><span class=\"number\">12.1</span>ORBNET Systems can end our contract with you for a product (or service for business customers) with immediate effect, and claim any compensation due to us if:</p>\n  <p class=\"subclause\"><span class=\"number\">12.1.1</span>You don't make any payment to us when it's due and you still don't make payment within 7 days of our reminding you that payment is due;</p>\n  <p class=\"subclause\"><span class=\"number\">12.1.2</span>You don't, within a reasonable time of us asking for it, provide us with information, cooperation or access that we need to provide the product; or</p>\n  <p class=\"subclause\"><span class=\"number\">12.1.3</span>You breach any provision of these Terms.</p>\n\n  <h2>13. We don't compensate you for all losses caused by us or our products</h2>\n  <p class=\"clause\"><span class=\"number\">13.1</span>If you are a consumer, we are responsible for losses you suffer caused by us breaking this contract unless the loss is:</p>\n  <p class=\"subclause\"><span class=\"number\">13.1.1</span>Unexpected. It was not obvious to ORBNET Systems that it would happen and nothing you said to us before we accepted your order meant we should have expected it (so, in the law, the loss was unforeseeable);</p>\n  <p class=\"subclause\"><span class=\"number\">13.1.2</span>Caused by a delaying event outside our control. As long as we have taken the steps set out in clause 14.</p>\n  <p class=\"subclause\"><span class=\"number\">13.1.3</span>Avoidable. Something you could have avoided by taking reasonable action. For example, damage to your own digital content or device, which was caused by products we supplied and which you could have avoided by following our advice, including but not limited to, applying an update or by correctly following the installation instructions or having the minimum system requirements advised by us.</p>\n  <p class=\"subclause\"><span class=\"number\">13.1.4</span>A business loss. We only supply the Software and/or Documentation to you for domestic and private use. If you use the products for any commercial, business or re-sale purpose we will have no liability to you for any loss of profit, loss of business, business interruption, or loss of business opportunity.</p>\n  <p class=\"clause\"><span class=\"number\">13.2</span>If you are a business customer, subject to clause 13.4, we will not be liable to you, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, for any loss of profit, or any indirect or consequential loss arising under or in connection with any contract between us. Our total liability to you for all other losses arising under or in connection with any contract between us, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, shall be limited to 25 per cent of the total sums paid by you for products or services in the proceeding 12-month period in which such a claim is to have occurred.</p>\n  <p class=\"clause\"><span class=\"number\">13.3</span>We are not responsible for IT difficulties outside of the scope of the Software and/or Documentation. If the effectiveness of our products is impacted by outside IT difficulties, such as an outdated operating system, internet signal, network connectivity or incomplete installation of the Software, we will not be liable and you will not be entitled to any refund or compensation.</p>\n  <p class=\"clause\"><span class=\"number\">13.4</span>Losses we never limit or exclude. Nothing in these Terms shall limit or exclude our liability for death or personal injury caused by our negligence, or the negligence of our employees, agents or subcontractors (as applicable), fraud or fraudulent misrepresentation or any matter in respect of which it would be unlawful for us to exclude or restrict liability.</p>\n\n  <h2>14. We're not responsible for delays outside our control.</h2>\n  <p class=\"clause\"><span class=\"number\">14.1</span>Products: If our supply of your product is delayed by an event outside our control, we will contact you as soon as possible to let you know and do what we can to reduce the delay. As long as we do this, we won't compensate you for the delay, but if the delay is likely to last for longer than 4 weeks you can contact us to end the contract and receive a refund for any products you have paid for in advance, but not received.</p>\n  <p class=\"clause\"><span class=\"number\">14.2</span>Services for business customers: If our supply or performance of the services is delayed by an event outside our control, we will contact you as soon as possible to let you know and do what we can to reduce the delay. As long as we do this, we won't compensate you for the delay, but if the delay is likely to last for longer than 6 weeks you can contact us to end the contract and receive a refund for any services you have paid for in advance, but not received.</p>\n\n  <h2>15. If you are a consumer, you can change your mind</h2>\n  <p class=\"clause\"><span class=\"number\">15.1</span>If you bought online or over the telephone you have a legal right to change your mind before accessing or downloading your product.</p>\n  <p class=\"clause\"><span class=\"number\">15.2</span>You have 14 days after the date we confirm your order to change your mind about a purchase, but you lose this right when you start to download or stream your product. If you change your mind, contact us to let us know and we will refund you as soon as possible and within 14 days of you telling us you've changed your mind. We will refund you by the method you used for payment. We don't charge a fee for the refund.</p>\n\n  <h2>16. How you can end your contract with us</h2>\n  <p class=\"clause\"><span class=\"number\">16.1</span>If you are a consumer, you can simply end the contract by contacting us if:</p>\n  <p class=\"subclause\"><span class=\"number\">16.1.1</span>Our Software and/or Documentation that you purchased are misdescribed and you have a legal right to end the contract or get some of your money back;</p>\n  <p class=\"subclause\"><span class=\"number\">16.1.2</span>You want to end the contract because of something we have done or have told you we are going to do, please see clauses 8.5 (changes to our prices), 9 (changes to our products or these Terms), 10.2 (suspending supply of our products), 11.1 (withdrawal of products) and 15.2 (change your mind). In these instances, the contract will end upon your written notice;</p>\n  <p class=\"subclause\"><span class=\"number\">16.1.3</span>In all other cases (if we are not at fault and there is no right to change your mind), you can still end the contract but this will apply upon expiry of any relevant subscription or auto-renewal period provided you have given us at least 30 days’ notice before the period is due to end.</p>\n\n  <h2>17. What if you are unhappy with the Software and/or Documents?</h2>\n  <p class=\"clause\"><span class=\"number\">17.1</span>If there are any issues with our products, please contact us in the first instance and we will try to resolve any concerns for you. You have the following rights:</p>\n  <p class=\"subclause\"><span class=\"number\">17.1.1</span>If you are a consumer our products must be of satisfactory quality, fit for purpose and as described. If the Software and/or Documents do not adhere to these requirements, you may be entitled to repair, replacement or if it hasn't been fixed within a reasonable time and without significant inconvenience, you can get some or all of your money back. If you can show the fault has damaged your device and we haven't used reasonable care and skill, you may be entitled to a repair or compensation.</p>\n  <p class=\"subclause\"><span class=\"number\">17.1.2</span>If you are a business customer our products must conform to description, be free from material defects, be of satisfactory quality and be fit for any purpose held out by us. If the Software and/or Documents do not adhere to these requirements, you may be entitled to repair, replacement or refund of the price of the defective product in full and this will be your only remedy. However, you must not have used the products after purporting it is non-compliant; any non-compliance must not have arisen as a result of your failure to follow our instructions such as on installation; any non-compliance must not be as a result of your alteration to the products and any non-compliance must not be as a result of wilful damage, negligence or abnormal working conditions.</p>\n\n  <h2>General</h2>\n  <p class=\"clause\"><span class=\"number\">18.</span>We reserve the right to end the contract at any time upon providing you with at least 14 days’ notice and we will refund any sums that you have paid in advance for products you will not receive, or services purchased by business customers which will not be performed.</p>\n  <p class=\"clause\"><span class=\"number\">19.</span>We may transfer this agreement to someone else. We may transfer our rights and obligations under these Terms to another organisation. We will always tell you in writing if this happens and we will ensure that the transfer will not affect your rights under the contract.</p>\n  <p class=\"clause\"><span class=\"number\">20.</span>You need our consent to transfer your rights to someone else. You may only transfer your rights or your obligations under these Terms to another person if we agree to this in writing.</p>\n  <p class=\"clause\"><span class=\"number\">21.</span>If you are a business customer these Terms constitute the entire agreement between us in relation to your purchase. You acknowledge that you have not relied on any statement, promise, representation, assurance or warranty made or given by us or on our behalf which is not set out in these Terms and that you have no claim for innocent or negligent misrepresentation or negligent misstatement based on any statement in these Terms.</p>\n  <p class=\"clause\"><span class=\"number\">22.</span>Nobody else has any rights under this contract. This contract is between you and us. No other person shall have any rights to enforce any of its terms.</p>\n  <p class=\"clause\"><span class=\"number\">23.</span>If a court finds part of this contract illegal, the rest will continue in force. Each of the paragraphs of these Terms operates separately. If any court or relevant authority decides that any of them are unlawful, the remaining paragraphs will remain in full force and effect.</p>\n  <p class=\"clause\"><span class=\"number\">24.</span>Even if we delay in enforcing this contract, we can still enforce it later If we do not insist immediately that you do anything you are required to do under these Terms, or if we delay in taking steps against you in respect of your breaking this contract, that will not mean that you do not have to do those things and it will not prevent us taking steps against you at a later date.</p>\n  <p class=\"clause\"><span class=\"number\">25.</span>You have several options for resolving disputes with us.</p>\n  <p class=\"subclause\"><span class=\"number\">25.1</span>Our complaints policy. Please contact us and we will do our best to resolve any problems you have with us or our products (or services) as per our Complaints policy.</p>\n  <p class=\"subclause\"><span class=\"number\">25.2</span>Resolving disputes without going to court. Alternative dispute resolution (ADR) is an optional process where an independent body considers the facts of a dispute and seeks to resolve it, without you having to go to court. Please contact us in the first instance to arrange ADR, while please noting that if you are not satisfied with the outcome, you can still go to court.</p>\n  <p class=\"subclause\"><span class=\"number\">25.3</span>You can go to court. Please see clause 26 for further information.</p>\n\n  <h2>26. Which laws apply to this contract and where you may bring legal proceedings?</h2>\n  <p class=\"clause\"><span class=\"number\">26.1</span>If you are a consumer: these Terms are governed by English law and you can bring legal proceedings in respect of the products in the English courts. If you live in Scotland, you can bring legal proceedings in respect of the products in either the Scottish or the English courts. If you live in Northern Ireland, you can bring legal proceedings in respect of the products in either the Northern Irish or the English courts.</p>\n  <p class=\"clause\"><span class=\"number\">26.2</span>If you are a business customer: these Terms are governed by and should be construed in accordance with the law of England and Wales. }\n  }\n</style>\n\n  <header class=\"legal-header\">\n    <p class=\"document-code\">EULA ORB-TMP-010 V1.2 | 13/06/2025</p>\n    <h1 id=\"orbnet-eula-title\" style=\"color:#ffffff !important;-webkit-text-fill-color:#ffffff !important;opacity:1 !important;\">PLEASE READ THESE LICENCE TERMS CAREFULLY</h1>\n  </header>\n\n  <p>This licence agreement (Licence) is a legal agreement between you (Licensee or you) and ORBNET Systems Ltd registered in England and Wales under company number 12172684 whose registered address is Unit 2.02 High Weald House, Glovers End, Bexhill, United Kingdom, TN39 5ES (Licensor or ORBNET Systems) for:</p>\n  <p>The ORBNET Systems’ computer software as detailed on the website, the data supplied with the software, and the associated media (Software) and printed materials and electronic documentation, if any (Documentation).</p>\n  <p>ORBNET Systems license use of the Software and Documentation to you on the basis of this Licence depending on whether you are using the Software during the Trial Period or if you have purchased the Software. Our Software is usually sold by an authorised reseller and their terms of sale will apply. Alternatively, ORBNET Systems may have sold the Software to you directly, in which case our terms of sale available, <a href=\"https://orbnetsys.com/termsandconditions\">here</a>, will apply.</p>\n  <p>Some of the terms of this Licence may vary depending on whether you are a business customer or a consumer, as defined below:</p>\n  <ul class=\"legal-bullets\">\n    <li>you will be a business customer if you are using the Software and Documentation for purposes relating to your trade, business, craft or profession; or</li>\n    <li>you will be a consumer if you are using the Software and Documentation for personal use, wholly or mainly outside of your trade, business, craft or profession.</li>\n  </ul>\n  <p>ORBNET Systems remains the owner of the Software and Documentation at all times.</p>\n  <p>ORBNET Systems have set out the operating system requirements in the Application Install Guide (Operating System).</p>\n  <h2 class=\"legal-section-marker\">AGREED TERMS</h2>\n  <h3 class=\"legal-terms-marker\">LICENCE AND TERMS THAT APPLY TO THE TRIAL PERIOD</h3>\n  <h2>1. GRANT AND SCOPE OF LICENCE</h2>\n  <p class=\"clause\"><span class=\"number\">1.1</span>If you are trialling the Software free of charge during the Trial Period, this clause 1 shall apply to you and if there is an inconsistency between any of the provisions in this Licence and this clause 1, the provisions of this clause 1 shall take precedence.</p>\n  <p class=\"clause\"><span class=\"number\">1.2</span>The Licensor hereby grants you a personal, non-transferable, non-exclusive licence to use the Software for 30 days from the date of installation (Trial Period) solely for the purposes of evaluating the Software before you purchase it. Subject to clause 1.3, you acknowledge and agree that this Licence will terminate after the Trial Period and you must stop using the Software. The Software will, or may, automatically \"time out\" (that is to say, cease to operate) at the end of the Trial Period.</p>\n  <p class=\"clause\"><span class=\"number\">1.3</span>ORBNET Systems may agree in writing to extend the Trial Period and in which case this clause 1 shall continue to apply for the renewed Trial Period. If you purchase the Software after the Trial Period you will be accepting the full licence of the Software set out at clauses 2 to 13.</p>\n  <p class=\"clause\"><span class=\"number\">1.4</span>You may make such copies of the Software as are necessary to evaluate the Software on your computer system or for back-up purposes, but not for any other purpose and you may not load all or any part of the Software on any other computer other or system without prior written agreement from the Licensor.</p>\n  <p class=\"clause\"><span class=\"number\">1.5</span>During the Trial Period this licence may be terminated immediately by the Licensor giving written notice if you are in breach of any of your obligations under this agreement. The licence may be terminated by you during the Trial Period upon seven days' written notice or upon acceptance by you of a full licence for the Software. Upon termination not followed by a full licence, the Recipient shall within two working days return to the Licensor all copies of all or part of the Software on any tangible medium and any Documents and shall completely delete all electronic copies of all or any part of the Software and/or any information disclosed by, or on behalf of, the Licensor relating to the Software resident in your computer system or elsewhere.</p>\n  <p class=\"clause\"><span class=\"number\">1.6</span>As the Software is being provided free of charge during the Trial Period:</p>\n  <p class=\"subclause\"><span class=\"number\">1.6.1</span>Save for death and personal injury caused by the Licensor's negligence or any other liability that cannot be excluded or limited by English law, the Licensor shall have no liability of any kind in any circumstances whatever to you in respect of the Software or Documentation. In particular, the Licensor shall have no liability in any circumstances whatever for any data loss or corruption and you agree that you have sole responsibility for protecting your data during installation and evaluation of the Software.</p>\n  <p class=\"subclause\"><span class=\"number\">1.6.2</span>No representations, conditions, warranties or other terms of any kind are given in respect of the Software or the Documentation, and all statutory warranties and conditions are excluded to the fullest extent possible.</p>\n  <p class=\"clause\"><span class=\"number\">1.7</span>In the event that the Licensor shall be found liable to you for any reason other than any liability that cannot be excluded or limited by English law, the sums payable to you in respect of such liability shall not in any circumstances exceed the price you would have paid for the Software at the time of installation.</p>\n  <p class=\"clause\"><span class=\"number\">1.8</span>Clauses 3 (Restrictions), 4 (Intellectual Property), 9 (Communications with Consumers), 10 (Communications with Businesses), 11 (Event Outside our Control), 12 (How ORBNET Systems may use your Information) and 13 (Other Important Terms) of this agreement shall apply to you.</p>\n  <h3 class=\"legal-terms-marker\">FULL LICENCE AND TERMS THAT APPLY WHEN YOU PURCHASE THE SOFTWARE</h3>\n  <h2>2. GRANT AND SCOPE OF LICENCE, MINOR CHANGES, UPDATES</h2>\n  <p class=\"clause\"><span class=\"number\">2.1</span>When you purchase the Software clauses 2 to 13 inclusive will apply to you.</p>\n  <p class=\"clause\"><span class=\"number\">2.2</span>In consideration of you purchasing the Software and agreeing to abide by the terms of this Licence, the Licensor hereby grants to you a non-exclusive, non-transferable licence to use the Software and the Documentation on the terms of this Licence in perpetuity unless terminated in accordance with this Licence.</p>\n  <p class=\"clause\"><span class=\"number\">2.3</span>You may:</p>\n  <p class=\"subclause\"><span class=\"number\">2.3.1</span>install and use the Software, if you are a consumer for your personal purposes only and if you are a business customer, for your internal business purposes only:</p>\n  <p class=\"subsubclause\"><span class=\"number\">2.3.1.1</span>On one central processing unit (CPU) if the Licence is a single-user licence or the Software is for single use; or</p>\n  <p class=\"subsubclause\"><span class=\"number\">2.3.1.2</span>If the Licence is a multi-user or network licence, by the number of concurrent users agreed.</p>\n  <p class=\"subclause\"><span class=\"number\">2.3.2</span>Provided it is used at any one time on only one computer owned or leased by you, transfer the Software from one computer to another;</p>\n  <p class=\"subclause\"><span class=\"number\">2.3.3</span>Provided you comply with the provisions in condition 2.5.2, make a copy of the Software for back-up purposes only; and</p>\n  <p class=\"subclause\"><span class=\"number\">2.3.4</span>Receive and use any free supplementary software code or update of the Software incorporating \"patches\" and corrections of errors as may be provided by the Licensor from time to time (but see condition 2.4 and condition 2.5.); and</p>\n  <p class=\"subclause\"><span class=\"number\">2.3.5</span>Use any Documentation in support of the use permitted under condition 2.3 and make a copy of the Documentation if reasonably necessary for its lawful use.</p>\n  <p class=\"clause\"><span class=\"number\">2.4</span>ORBNET Systems may update or require you to update the Software, provided that the Software shall always substantially match the description of it that provided to you before you bought it.</p>\n  <p class=\"clause\"><span class=\"number\">2.5</span>The Software may be upgraded to reflect minor changes in:</p>\n  <p class=\"subclause\"><span class=\"number\">2.5.1</span>The Operating System. The Software will work with the current or previous version of that Operating System (as it may be updated from time to time); and</p>\n  <p class=\"subclause\"><span class=\"number\">2.5.2</span>Milestone XProtect. The Software will work with versions of Milestone XProtect as stipulated in the system documentation.</p>\n  <h2>3. Restrictions</h2>\n  <p class=\"clause\"><span class=\"number\">3.1</span>Except as expressly set out in this Licence or as permitted by any local law, you undertake:</p>\n  <p class=\"subclause\"><span class=\"number\">3.1.1</span>Not to copy the Software or Documentation, except where such copying is incidental to normal use of the Software or where it is necessary for the purpose of back-up or operational security;</p>\n  <p class=\"subclause\"><span class=\"number\">3.1.2</span>Not to disassemble, de-compile, reverse engineer or create derivative works based on the whole or any part of the Software nor attempt to do any such things, except to the extent that (by virtue of sections 50B and 296A of the Copyright, Designs and Patents Act 1988) such actions cannot be prohibited because they are necessary to decompile the Software to obtain the information necessary to create an independent program that can be operated with the Software or with another program (Permitted Objective), and provided that the information obtained by you during such activities:</p>\n  <p class=\"subsubclause\"><span class=\"number\">3.1.2.1</span>Is used only for the Permitted Objective;</p>\n  <p class=\"subsubclause\"><span class=\"number\">3.1.2.2</span>Is not disclosed or communicated without the Licensor's prior written consent to any third party to whom it is not necessary to disclose or communicate it in order to achieve the Permitted Objective; and</p>\n  <p class=\"subsubclause\"><span class=\"number\">3.1.2.3</span>Is not used to create any software that is substantially similar in its expression to the Software,</p>\n  <p class=\"subclause\"><span class=\"number\">3.1.3</span>To keep all copies of the Software secure and to maintain accurate and up-to-date records of the number and locations of all copies of the Software;</p>\n  <p class=\"subclause\"><span class=\"number\">3.1.4</span>To include our copyright notice on all entire and partial copies of the Software in any form;</p>\n  <p class=\"subclause\"><span class=\"number\">3.1.5</span>Not to use the Software of any unlawful, illegal or immoral purpose; and</p>\n  <p class=\"subclause\"><span class=\"number\">3.1.6</span>To comply with all applicable technology control or export laws and regulations.</p>\n  <p class=\"subclause\"><span class=\"number\">3.1.7</span>If you are a consumer, you also undertake not to:</p>\n  <p class=\"subsubclause\"><span class=\"number\">3.1.7.1</span>Rent, lease, sub-license, loan, translate, merge, adapt, vary, alter or modify the whole or any part of the Software or Documentation nor, without our prior written consent, permit the Software or any part of it to be combined with, or become incorporated in, any other programs; and</p>\n  <p class=\"subsubclause\"><span class=\"number\">3.1.7.2</span>Not to provide, or otherwise make available, the Software in any form, in whole or in part (including, but not limited to, program listings, object and source program listings, object code and source code) to any person without prior written consent from us.</p>\n  <p class=\"subclause\"><span class=\"number\">3.1.8</span>If you are a business customer, you also undertake to:</p>\n  <p class=\"subsubclause\"><span class=\"number\">3.1.8.1</span>Supervise and control use of the Software and ensure that the Software is used by your employees and authorised representatives in accordance with the terms of this Licence;</p>\n  <p class=\"subsubclause\"><span class=\"number\">3.1.8.2</span>Not to provide or otherwise make available the Software in whole or in part (including but not limited to program listings, object and source program listings, object code and source code), in any form to any person other than your employees or authorised representatives without prior written consent from us; and</p>\n  <p class=\"subsubclause\"><span class=\"number\">3.1.8.3</span>Not to rent, lease, sub-license, loan, translate, merge, adapt, vary, alter or modify the whole or any part of the Software or Documentation.</p>\n  <h2>4. Intellectual property rights</h2>\n  <p class=\"clause\"><span class=\"number\">4.1</span>You acknowledge that all intellectual property rights in the Software and the Documentation throughout the world belong to us or our licensors, that rights in the Software are licensed (not sold) to you, and that you have no intellectual property rights in, or to, the Software or the Documentation other than the right to use the Software and the Documentation in accordance with the terms of this Licence.</p>\n  <p class=\"clause\"><span class=\"number\">4.2</span>You acknowledge that you have no right to have access to the Software in source code form other than as expressly provided in this Licence.</p>\n  <h2>5. Warranty</h2>\n  <p class=\"clause\"><span class=\"number\">5.1</span>ORBNET Systems warrant that:</p>\n  <p class=\"subclause\"><span class=\"number\">5.1.1</span>The Software will, when properly used on an operating system for which it was designed, perform substantially in accordance with the functions described in the Documentation;</p>\n  <p class=\"subclause\"><span class=\"number\">5.1.2</span>The Documentation correctly describes the operation of the Software in all material respects for a period of 90 days from the date of installation of the Software (Warranty Period).</p>\n  <p class=\"clause\"><span class=\"number\">5.2</span>If, within the Warranty Period, you notify us in writing of any defect or fault in the Software as a result of which it fails to perform substantially in accordance with the Documentation, ORBNET Systems will, at our sole discretion, either repair or replace the Software, provided that you give us proof of purchase and make available all the information that may be necessary to help us to remedy the defect or fault, including sufficient information to enable us to recreate the defect or fault.</p>\n  <p class=\"clause\"><span class=\"number\">5.3</span>The warranty does not apply if the defect or fault in the Software results from you:</p>\n  <p class=\"subclause\"><span class=\"number\">5.3.1</span>Altering or modifying the Software in any way;</p>\n  <p class=\"subclause\"><span class=\"number\">5.3.2</span>Not using the Software on a device or computer in accordance with the Operating System requirements; or</p>\n  <p class=\"subclause\"><span class=\"number\">5.3.3</span>Having used the Software in breach of the terms of this Licence.</p>\n  <h2>6. Our responsibility for loss or damage suffered by you if you are a consumer</h2>\n  <p class=\"clause\"><span class=\"number\">6.1</span>This clause 6 applies to consumers only. Please see clause 7 for terms that apply to business customers.</p>\n  <p class=\"clause\"><span class=\"number\">6.2</span>ORBNET Systems are responsible to you for foreseeable loss and damage caused by us. If ORBNET Systems fails to comply with these terms, ORBNET Systems is responsible for loss or damage you suffer that is a foreseeable result of our breaking this Licence or our failing to use reasonable care and skill, but ORBNET Systems are not responsible for any loss or damage that is not foreseeable. Loss or damage is foreseeable if either it is obvious that it will happen or if, at the time this Licence was made, both ORBNET Systems and you knew it might happen.</p>\n  <p class=\"clause\"><span class=\"number\">6.3</span>ORBNET Systems does not exclude or limit in any way our liability to you where it would be unlawful to do so. This includes liability for death or personal injury caused by our negligence or the negligence of our employees, agents or subcontractors or for fraud or fraudulent misrepresentation.</p>\n  <p class=\"clause\"><span class=\"number\">6.4</span>When ORBNET Systems are liable for damage to your property. If defective digital content that ORBNET Systems has supplied damages a device or digital content belonging to you, because reasonable care and skill was not used, ORBNET Systems will either repair the damage or pay you compensation. However, ORBNET Systems will not be liable for damage that you could have avoided by following our advice to apply an update offered to you free of charge or for damage that was caused by you failing to correctly follow installation instructions or to have in place the minimum system requirements advised by us.</p>\n  <p class=\"clause\"><span class=\"number\">6.5</span>ORBNET Systems is not liable for business losses. Your use of the Software as a consumer is for domestic and private use only. If you use the Software for any commercial, business or resale purpose ORBNET Systems will have no liability to you for any loss of profit, loss of business, business interruption, or loss of business opportunity.</p>\n  <p class=\"clause\"><span class=\"number\">6.6</span>You acknowledge that the Software has not been developed to meet your individual requirements, and that it is therefore your responsibility to ensure that the facilities and functions of the Software as described in the Documentation meet your requirements.</p>\n  <p class=\"clause\"><span class=\"number\">6.7</span>You acknowledge that the Software has not been developed to meet your individual requirements, including any particular cybersecurity requirements you might be subject to under law or otherwise, and that it is therefore your responsibility to ensure that the facilities and functions of the Software as described in the Documentation meets your requirements.</p>\n  <h2>7. Limitation of liability for business customers</h2>\n  <p class=\"clause\"><span class=\"number\">7.1</span>This clause 7 applies to business customers only. Please see clause 6 for terms that apply to consumers.</p>\n  <p class=\"clause\"><span class=\"number\">7.2</span>ORBNET Systems only supplies the Software and Documentation for internal use by your business, and you agree not to use the Software or Documentation for any re-sale purposes.</p>\n  <p class=\"clause\"><span class=\"number\">7.3</span>ORBNET Systems shall not in any circumstances whatever be liable to you, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, arising under or in connection with the Licence for:</p>\n  <p class=\"subclause\"><span class=\"number\">7.3.1</span>Loss of profits, sales, business, or revenue;</p>\n  <p class=\"subclause\"><span class=\"number\">7.3.2</span>Business interruption;</p>\n  <p class=\"subclause\"><span class=\"number\">7.3.3</span>Loss of anticipated savings;</p>\n  <p class=\"subclause\"><span class=\"number\">7.3.4</span>Loss or corruption of data or information;</p>\n  <p class=\"subclause\"><span class=\"number\">7.3.5</span>Loss of business opportunity, goodwill or reputation;</p>\n  <p class=\"continuation\">where any of the losses set out in condition 7.3.1 to condition 7.3.5 are direct or indirect; or</p>\n  <p class=\"subclause\"><span class=\"number\">7.3.6</span>Any special, indirect or consequential loss, damage, charges or expenses.</p>\n  <p class=\"clause\"><span class=\"number\">7.4</span>Other than the losses set out in condition 7.3 (for which ORBNET Systems is not liable), our maximum aggregate liability under or in connection with this Licence whether in contract, tort (including negligence) or otherwise, shall in all circumstances be limited to a sum equal to 25% of the licence fee you paid to our reseller, or directly to us, when you purchase the Software. This maximum cap does not apply to condition 7.5.</p>\n  <p class=\"clause\"><span class=\"number\">7.5</span>Nothing in this Licence shall limit or exclude our liability for:</p>\n  <p class=\"subclause\"><span class=\"number\">7.5.1</span>Death or personal injury resulting from our negligence;</p>\n  <p class=\"subclause\"><span class=\"number\">7.5.2</span>Fraud or fraudulent misrepresentation; or</p>\n  <p class=\"subclause\"><span class=\"number\">7.5.3</span>Any other liability that cannot be excluded or limited by English law.</p>\n  <p class=\"clause\"><span class=\"number\">7.6</span>This Licence sets out the full extent of our obligations and liabilities in respect of the supply of the Software and Documentation. Except as expressly stated in this Licence, there are no conditions, warranties, representations or other terms, express or implied, that are binding on us. Any condition, warranty, representation or other term concerning the supply of the Software and Documentation which might otherwise be implied into, or incorporated in, this Licence whether by statute, common law or otherwise, is excluded to the fullest extent permitted by law.</p>\n  <h2>8. Termination</h2>\n  <p class=\"clause\"><span class=\"number\">8.1</span>ORBNET Systems may terminate this Licence immediately by written notice to you if you commit a material or persistent breach of this Licence which you fail to remedy (if remediable) within 14 days after the service of written notice requiring you to do so.</p>\n  <p class=\"clause\"><span class=\"number\">8.2</span>Upon termination for any reason:</p>\n  <p class=\"subclause\"><span class=\"number\">8.2.1</span>All rights granted to you under this Licence shall cease;</p>\n  <p class=\"subclause\"><span class=\"number\">8.2.2</span>You must cease all activities authorised by this Licence; and</p>\n  <p class=\"subclause\"><span class=\"number\">8.2.3</span>You must immediately delete or remove the Software from all computer equipment in your possession and immediately destroy or return to us (at our option) all copies of the Software then in your possession, custody or control and, in the case of destruction, certify to us that you have done so.</p>\n  <h2>9. Communications between us if you are a consumer</h2>\n  <p class=\"clause\"><span class=\"number\">9.1</span>This clause 9 applies if you are a consumer only, please see clause 10 if you are a business customer.</p>\n  <p class=\"clause\"><span class=\"number\">9.2</span>If you wish to contact us in writing, or if any condition in this Licence requires you to give us notice in writing, you can send this to us by email to <a href=\"mailto:support@orbnetsys.com\">support@orbnetsys.com</a> or by using our contact form available on our website, <a href=\"https://orbnetsys.com/Contact\">here</a>. ORBNET Systems will confirm receipt of this by contacting you in writing, normally by email.</p>\n  <p class=\"clause\"><span class=\"number\">9.3</span>If ORBNET Systems needs to contact you or give you notice in writing, this will be by email to the email address you provide or confirm to us.</p>\n  <h2>10. Communications between us if you are a business customer</h2>\n  <p class=\"clause\"><span class=\"number\">10.1</span>This clause 10 applies if you are a business customer only, please see clause 9 if you are a consumer.</p>\n  <p class=\"clause\"><span class=\"number\">10.2</span>ORBNET Systems may update the terms of this Licence at any time on notice to you in accordance with this clause 10. Your continued use of the Software and Documentation following the deemed receipt and service of the notice under condition 10.4 shall constitute your acceptance to the terms of this Licence, as varied. If you do not wish to accept the terms of the Licence (as varied) you must immediately stop using and accessing the Software and Documentation on the deemed receipt and service of the notice.</p>\n  <p class=\"clause\"><span class=\"number\">10.3</span>If ORBNET Systems needs to contact you, it will be by email to the email address you provided in accordance with your order for, or registration of, the Software.</p>\n  <p class=\"clause\"><span class=\"number\">10.4</span>Note that any notice:</p>\n  <p class=\"subclause\"><span class=\"number\">10.4.1</span>Given by us to you will be deemed received and properly served 24 hours after it is first posted on our website, 24 hours after an email is sent, or three days after the date of posting of any letter; and</p>\n  <p class=\"subclause\"><span class=\"number\">10.4.2</span>Given by you to us will be deemed received and properly served 24 hours after an email is sent, or three days after the date of posting of any letter.</p>\n  <p class=\"clause\"><span class=\"number\">10.5</span>In proving the service of any notice, it will be sufficient to prove, in the case of posting on our website, that the website was generally accessible to the public for a period of 24 hours after the first posting of the notice; in the case of a letter, that such letter was properly addressed, stamped and placed in the post to the address of the recipient given for these purposes; and, in the case of an email, that such email was sent to the email address of the recipient given for these purposes.</p>\n  <h2>11. Events outside our control</h2>\n  <p class=\"clause\"><span class=\"number\">11.1</span>ORBNET Systems will not be liable or responsible for any failure to perform, or delay in performance of, any of our obligations under this Licence that is caused by an Event Outside Our Control. An Event Outside Our Control is defined below in condition 11.2.</p>\n  <p class=\"clause\"><span class=\"number\">11.2</span>An Event Outside Our Control means any act or event beyond our reasonable control, including without limitation failure of public or private telecommunications networks and failure of any third-party systems or software.</p>\n  <p class=\"clause\"><span class=\"number\">11.3</span>If an Event Outside Our Control takes place that affects the performance of our obligations under this Licence:</p>\n  <p class=\"subclause\"><span class=\"number\">11.3.1</span>Our obligations under this Licence will be suspended and the time for performance of our obligations will be extended for the duration of the Event Outside Our Control; and</p>\n  <p class=\"subclause\"><span class=\"number\">11.3.2</span>ORBNET Systems will use reasonable endeavours to find a solution by which our obligations under this Licence may be performed despite the Event Outside Our Control.</p>\n  <h2>12. How ORBNET Systems may use your personal information</h2>\n  <p>Under data protection legislation, ORBNET Systems is required to provide you with certain information about who we are, how your personal data is processed and for what purposes and your rights in relation to your personal data and how to exercise them. This information is provided in our privacy policy available <a href=\"https://orbnetsys.com/privacypolicy\">here</a> and it is important that you read that information.</p>\n  <h2>13. Other important terms</h2>\n  <p class=\"clause\"><span class=\"number\">13.1</span>ORBNET Systems may transfer our rights and obligations under these terms to another organisation but this will not affect your rights or our obligations under this Licence and you will be notified in writing to let you know if a transfer is taking place.</p>\n  <p class=\"clause\"><span class=\"number\">13.2</span>You may only transfer your rights or your obligations under this Licence to another person if ORBNET Systems provides prior written agreement.</p>\n  <p class=\"clause\"><span class=\"number\">13.3</span>This agreement does not give rise to any rights under the Contracts (Rights of Third Parties) Act 1999 to enforce any term of this agreement.</p>\n  <p class=\"clause\"><span class=\"number\">13.4</span>Each of the conditions of these terms operates separately. If any court or relevant authority decides that any of them are unlawful, the remaining conditions will remain in full force and effect.</p>\n  <p class=\"clause\"><span class=\"number\">13.5</span>If ORBNET Systems does not insist immediately that you do anything you are required to do under these terms, or if there is a delay in taking steps against you in respect of your breaking this contract, that will not mean that you do not have to do those things and it will not prevent us taking steps against you at a later date.</p>\n  <p class=\"clause\"><span class=\"number\">13.6</span>Which laws apply to this Licence and where you may bring legal proceedings if you are a consumer. These terms are governed by English law, and you can bring legal proceedings in respect of the products in the English courts. If you live in Scotland, you can bring legal proceedings in respect of the products in either the Scottish or the English courts. If you live in Northern Ireland, you can bring legal proceedings in respect of the products in either the Northern Irish or the English courts.</p>\n  <p class=\"clause\"><span class=\"number\">13.7</span>Which laws apply to this Licence and where you may bring legal proceedings if you are a business customer. This Licence, its subject matter and its formation (and any non-contractual disputes or claims) are governed by English law. ORBNET Systems and you, both irrevocably agree to the exclusive jurisdiction of the courts of England and Wales.</p>\n  <p class=\"clause\"><span class=\"number\">13.8</span>If you are a business customer this is the entire agreement between us. You agree that you shall have no remedies in respect of any statement, representation, assurance or warranty (whether made innocently or negligently) that is not set out in this Licence, or any document expressly referred to in it. Our Commitment</h2>\n  <p>ORBNET Systems Limited is committed to sourcing quality products from, and building relationships with, suppliers who share our values and ethical standards. We do not enter into business with any organisations in the United Kingdom or abroad which knowingly supports or is found to be involved in slavery, servitude and forced or compulsory labour.</p>\n  <p>We are an equal-opportunities employer committed to creating and ensuring a non-discriminatory and respectful working environment for our colleagues. Our recruitment and people management processes are designed to ensure that all prospective colleagues are legally entitled to work in the UK and to safeguard colleagues from any abuse or coercion once in our employment.</p>\n  <p>We want all our colleagues to feel confident that they can expose wrongdoing without fear of retaliation.</p>\n\n  <h2>2. Whistleblowing</h2>\n  <p>Our Whistleblowing Policy encourages all colleagues to raise concerns including potential violations of the Code of Conduct, company policies and the laws of the countries in which we operate. We have reporting mechanisms in place to collect and relay information regarding potential violations to appropriate company resources for review and follow-up action.</p>\n\n  <h2>3. Supply Chain and Due Diligence</h2>\n  <p>Our principal suppliers are regulated manufacturers and distributors of IT products in the surveillance industry.</p>\n  <p>Some of our suppliers are in countries that may be more vulnerable to human rights abuses than others. That is why we have methods to manage our zero-tolerance policy for such abuses, including the following:</p>\n  <ul>\n    <li>We clearly communicate our expectations to suppliers to ensure adherence to our values and ethical standards.</li>\n    <li>We establish appropriate policies and processes within our businesses to make sure that the products we purchase and sell comply with our ethical standards.</li>\n    <li>We utilise both internal and external resources to evaluate the factories of our suppliers based in higher risk countries and audit them against recognised industry standards.</li>\n  </ul>\n  <p>Adverse audit findings, non-conformities and other remediation requirements are prioritised based on risk. If remediation is required we work with our suppliers to improve their standards with corrective action plans and ongoing reviews to make sure that our standards are maintained. We aim to build relationships with our suppliers to ensure adherence to our values and ethical standards. If a supplier fails to adequately remediate the issue, the relationship will be risk assessed and if necessary terminated.</p>\n\n  <h2>4. Effectiveness</h2>\n  <p>We will be reviewing our supplier monitoring programme to ensure our actions are appropriate and we believe our efforts to date have been effective in preventing slavery and human trafficking from being part of our supply chain.</p>\n  <p>We will consider further enhancements to help ensure a robust, proportionate and risk-based approach including refining our approach to ongoing and repeat due diligence on a risk basis for all suppliers.</p>\n\n  <h2>5. Policy Review and Updates</h2>\n  <p>This policy will be reviewed annually if there are significant changes to UK legislation or relevant guidance.
